A law firm specializing in corporate and transactional law seeks a motivated attorney to join its award-winning M&A practice in Allentown. The ideal candidate will handle diverse transactions and provide comprehensive legal support to the firm's Corporate Business & Banking group.

Duties:

  • Represent various business entities in corporate transactions, including mergers & acquisitions, due diligence, compliance, contract drafting, and negotiation.
  • Advise clients on entity formation, restructuring, and corporate governance matters.
  • Assist with financing transactions, including private equity and venture capital investments.
  • Conduct legal research and analysis to support transactional and advisory services.
  • Provide overall legal support and guidance to clients within the Corporate Business & Banking group.

Requirements:

  • 2-6 years of experience practicing corporate and transactional law.
  • Active member of the Pennsylvania Bar Association in good standing; New Jersey Bar membership preferred.
  • Strong academic credentials and/or relevant work experience.
  • Excellent interpersonal, written, and oral communication skills.
  • Proven ability to interact professionally with clients and colleagues.
  • Capability to manage projects independently with minimal supervision.
  • Detail-oriented with strong analytical and organizational skills.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications (Preferred):

  • Certification or coursework in business law, mergers & acquisitions, or related fields is a plus.

Skills:

  • Proficiency in legal research tools and databases.
  • Ability to draft and negotiate complex legal documents.
  • Understanding of corporate finance and business transactions.
  • Commitment to delivering high-quality legal services and meeting client expectations.
