Job Overview

A prominent law firm is seeking an experienced Finance Associate to join its leading finance practice. The position offers an exciting opportunity to work on a broad range of complex finance transactions, including syndicated and portfolio transactions, as well as restructuring, M&A, and private equity transactions. Ideal candidates will have a strong transactional background and experience with Article 9 of the UCC and bankruptcy code. Duties

  • Work on a variety of complex finance transactions, including syndicated and portfolio transactions.

  • Provide legal advice and draft agreements for institutional clients such as commercial banks, private equity firms, and developers.

  • Collaborate with clients on transactional structures, strategies, and legal solutions.

  • Navigate and apply Article 9 of the UCC and the Bankruptcy Code in commercial finance transactions.

  • Assist with workouts, restructuring, M&A, and private equity transactions.

  • Conduct legal research and draft legal memoranda.

  • Assist senior attorneys in preparing transactional documents, and handle client communications.

Requirements

  • 5-6 years of experience in finance or transactional law.

  • Strong understanding of commercial finance transactions, including syndicated and portfolio transactions.

  • In-depth knowledge of Article 9 of the UCC and the Bankruptcy Code.

  • Experience with workouts, restructuring, M&A, and private equity transactions is a plus.

  • Excellent academic credentials.

  • Strong writing, analytical, and communication skills.

  • Ability to work independently and in a team environment.

  • Active bar license in the jurisdiction where the position is located is preferred.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active bar membership in good standing (preferred).

Skills

  • Strong transactional background, with experience in complex finance matters.

  • Knowledge of Article 9 of the UCC and Bankruptcy Code.

  • Experience in restructuring, workouts, M&A, and private equity transactions is a plus.

  • Excellent legal research, writing, and communication skills.

  • Ability to analyze complex legal issues and draft clear and concise legal documents.

  • Strong organizational and time management skills.
