A law firm in San Francisco is currently seeking a Mid-level Private Equity Associate Attorney with 4-6 years of experience in private equity transactions. The ideal candidate will have extensive experience representing private equity sponsors in acquisitions, dispositions, and financings. The role involves drafting, reviewing, and negotiating transactional documents, conducting due diligence, advising on regulatory compliance, assisting in fund structuring, and providing guidance on corporate governance matters and securities regulations.

 

Duties:

  • Represent private equity sponsors in acquisitions, dispositions, and financings.
  • Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents.
  • Conduct thorough due diligence and research on potential investment opportunities.
  • Advise clients on regulatory compliance issues related to private equity transactions.
  • Assist in the structuring and formation of private equity funds.
  • Provide guidance on transactions, corporate governance matters, and securities regulations.
  • Collaborate with cross-functional teams to ensure seamless transaction execution.
  • Independently lead various parts of transactions.
  • Supervise and professionally develop junior colleagues on the team.
  • Stay updated on industry trends, legal developments, and best practices in private equity law.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission, in good standing, to practice in the state of California.

 

Experience:

  • 4-6 years of experience working on private equity transactions.
  • Preferably at a highly regarded law firm.
  • Experience representing private equity and strategic investors.

 

Skills:

  • Extensive knowledge of corporate law and securities regulations.
  • Excellent drafting, negotiation, and analytical skills.
