The ideal candidate should possess a background in corporate law practice acquired within a reputable law firm. Prior employment history within the Securities and Exchange Commission (SEC) is advantageous. Proficiency in navigating the Investment Advisers Act of 1940 and other pertinent federal securities statutes is preferred. The candidate must exhibit adeptness in providing counsel to emerging and established fund managers concerning structuring, market practices, regulatory compliance, and all other aspects of private investment fund formation. A Juris Doctor (J.D.) degree from an accredited law institution is required. Duties:

• Draft and review fund formation documents, including limited partnership agreements, subscription agreements, and private placement memoranda.
