Job Overview:
A prestigious law firm is seeking a Mid-Level Corporate Associate with 3-5 years of legal experience. This is an excellent opportunity for candidates with a background in securities practice and corporate law. The role offers exposure to a variety of complex legal matters in a fast-paced environment and provides the flexibility of a hybrid work schedule, allowing for both office and remote work.

Duties:

  • Handle registered securities offerings, PIPEs, and SEC regulations
  • Prepare ’33 Act Registration Statements and ’34 Act periodic filings
  • Provide counsel on mergers & acquisitions, general corporate law, and SEC compliance
  • Manage client relationships with a proactive and self-motivated approach
  • Work with high-growth, early-stage businesses and active investors on incorporations, equity financings, and securities
  • Offer general corporate counseling and legal advice
  • Draft and review legal documents, ensuring high attention to detail
  • Collaborate with internal teams to manage complex corporate matters

Requirements:

  • 3-5 years of experience in corporate law, with a focus on securities and regulatory compliance
  • Proven ability to manage client relationships effectively
  • Strong problem-solving and analytical skills
  • Excellent written and verbal communication skills
  • Experience with mergers & acquisitions, corporate governance, and SEC filings
  • High attention to detail and organizational skills
  • Self-starter with the ability to work independently
  • Ability to work well in a hybrid work environment

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active law license in New York

Skills:

  • Expertise in securities law, including registered offerings and PIPEs
  • Familiarity with SEC filings and compliance requirements
  • Strong interpersonal and communication skills
  • Ability to manage complex legal projects and deadlines
  • Proficient in legal research and document preparation
  • Ability to work collaboratively in a team environment
