Job Overview: A law firm is seeking a Senior Fund Finance/NAV Finance/Subscription Line Associate Attorney or Counsel with a minimum of 6+ years of experience in fund finance. The ideal candidate will have a strong background in representing various stakeholders in fund finance transactions, including borrowers, agents, lead arrangers, and lenders. Experience with subscription line credit facilities and NAV-based facilities is essential, with a preference for candidates who have prior work with Collateralized Loan Obligations (CLOs). Large law firm experience is required.

Duties:

  • Represent borrowers, agents, lead arrangers, and lenders in NAV-based, subscription credit, capital call, and other fund finance facilities.
  • Handle various fund types, including corporate credit, private equity, real estate, and other investment funds.
  • Assist in structuring and negotiating fund finance transactions, including hybrid, open-end, HNW, aftercare, umbrella, management fee, and GP lines.
  • Provide legal counsel on complex fund finance issues, ensuring compliance with regulatory requirements and industry standards.
  • Collaborate with internal and external stakeholders to facilitate seamless fund finance transactions.

Requirements:

  • Minimum 6+ years of experience in fund finance.
  • Extensive experience with subscription line credit facilities and NAV-based facilities.
  • Prior work with Collateralized Loan Obligations (CLOs) is a plus.
  • Strong understanding of fund structures and financing mechanisms.
  • Excellent negotiation and communication skills.
  • Ability to manage multiple projects simultaneously and meet tight deadlines.
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Pennsylvania Bar or eligibility for admission via reciprocity.
