A law firm in Mountain View, CA, is seeking a Debt and Leveraged Finance Counsel to join their corporate group and contribute to their expanding debt and leveraged finance practice. The role involves working on a diverse array of debt and finance transactions, including syndicated credit facilities, asset-based loan facilities, working capital facilities, subordinated loans, equipment leasing, and acquisition financings. The ideal candidate will have extensive experience representing borrowers in various debt transactions, with a positive view towards experience in out-of-court insolvency or restructuring. Superior academic credentials, excellent oral, written, and interpersonal skills are essential, and experience or affinity for technology or life sciences sectors is advantageous.

Duties and Responsibilities:

  • Collaborate within the larger corporate group, focusing on the firm's growing debt and leveraged finance practice.
  • Handle a wide variety of debt and finance transactions, such as syndicated credit facilities, asset-based loan facilities, working capital facilities, subordinated loans, equipment leasing, and acquisition financings.
  • Provide strong representation to borrowers in negotiation and execution of debt transactions.
  • Offer strategic advice and expertise in out-of-court insolvency or restructuring matters when required.
  • Work closely with clients, internal teams, and external stakeholders to achieve successful transactional outcomes.

Requirements:

  • JD from an accredited law school; admitted to the California Bar.
  • 5-8 years of experience in leveraged or banking finance with a focus on borrower representation.
  • Demonstrated proficiency in handling various debt transactions, including syndicated credit facilities and acquisition financings.
  • Familiarity or experience with out-of-court insolvency or restructuring transactions is preferred.
  • Excellent academic credentials with superior oral, written, and interpersonal communication skills.
  • Interest or experience in technology or life sciences sectors is a positive attribute.
