Job Overview: A law firm in Miami, FL, is seeking a FinTech and Blockchain Counsel to provide legal counsel and expertise in blockchain technology, financial services, and securities law. The successful candidate will work with blockchain technology companies, financial institutions, and digital asset exchanges, offering guidance on securities law, private placement agent requirements, custody rule requirements, cross-border regulatory issues, as well as FINRA and SEC regulatory inquiries. Additionally, they will be responsible for structuring deals related to technology companies, digital asset exchanges, and blockchain token offerings. The role involves assisting financial services firms and their vendors in negotiating U.S. and cross-border technology agreements while considering U.S. securities laws and broker-dealer regulatory issues.

Duties:

  • Provide legal counsel and guidance on securities law issues, private placement agent requirements, and custody rule requirements.
  • Assist with cross-border regulatory issues and address FINRA and SEC regulatory inquiries.
  • Structure deals involving technology companies, digital asset exchanges, and blockchain token offerings.
  • Offer legal support in negotiating U.S. and cross-border technology agreements for financial services firms and their vendors.
  • Address U.S. securities laws and broker-dealer regulatory issues related to technology agreements.

Requirements:

  • Admitted to or eligible to seek immediate admission in Florida (FL).
  • 8+ years of relevant legal experience.
  • Extensive experience with U.S. federal securities laws and a strong understanding of interactions with the SEC.
  • Preferred experience in the fields of blockchain and FinTech.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Must be a licensed attorney in the state of Florida.

Skills:

  • Strong knowledge of U.S. federal securities laws and regulations.
  • Familiarity with blockchain technology and FinTech.
  • Excellent negotiation and deal structuring skills.
  • Analytical and problem-solving abilities.
  • Effective communication and legal research skills.
