A law firm in Sacramento, CA, is seeking an experienced Energy Transition Transactional Associate Attorney to join their team. The role requires substantial transactional experience in energy transition projects, with a focus on emerging technologies and traditional renewable energy sectors.

Duties and Responsibilities:

  • Represent clients in diverse and complex transactional and project development matters related to energy transition projects.
  • Advise on mergers and acquisitions, land purchase agreements, offtake agreements (including power purchase agreements), pore space leases, hydrogen purchase agreements, lithium extraction leases, joint venture agreements, partnership agreements, and LLC agreements.
  • Negotiate and draft project documents such as EPC contracts, BOP contracts, equipment supply agreements, procurement agreements, and O&M agreements.
  • Provide legal guidance to clients transitioning from traditional upstream and midstream oil and gas projects to the energy transition sector.
  • Conduct legal research, prepare legal opinions, and draft memoranda as needed.
  • Manage project timelines, ensuring adherence to legal and regulatory requirements.

Requirements:

  • Juris Doctor (JD) degree from an ABA-approved law school.
  • Admission to and active membership in the Bar of the jurisdiction(s) in which the candidate is located, in good standing.
  • 3-6 years of relevant experience in transactional law, preferably focused on energy transition projects.
  • Extensive knowledge of hydrogen, carbon capture, renewable fuels, lithium extraction, and other energy transition areas.
  • Strong negotiation, drafting, and project management skills.

Education and Certifications:

  • JD from an ABA-approved law school.
  • Bar admission in the relevant jurisdiction(s).

Skills:

  • Excellent legal research, writing, and analytical skills.
  • Proficiency in negotiating and drafting complex transactional documents.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Strong attention to detail and organizational skills.
  • Effective communication and interpersonal skills for client interaction.
