A law firm in New York City, NY, is seeking an experienced M&A/Private Equity NDA Associate Attorney with 2+ years of M&A experience. The candidate will focus on the review, drafting, and negotiation of non-disclosure agreements (NDAs) specifically related to mergers and acquisitions and private equity transactions. The role requires a keen eye for detail, strong negotiation skills, and the ability to effectively collaborate with clients and internal teams. The ideal candidate will possess in-depth knowledge of M&A processes, excellent interpersonal skills, and a client-service mindset.

Key Responsibilities:

  • Review, draft, and negotiate NDAs for mergers and acquisitions, private equity deals, and other related transactions.
  • Identify and mitigate confidentiality risks by advising clients on key NDA provisions, including use restrictions, non-solicitation clauses, and remedies for breach.
  • Collaborate with clients, internal legal teams, and third parties to ensure alignment on confidentiality matters and transaction terms.
  • Advise clients on best practices for structuring confidentiality agreements within the M&A and private equity landscape.
  • Conduct due diligence and risk assessments related to confidentiality provisions in potential transactions.
  • Assist clients in understanding the implications of different NDA terms and how they align with overall deal strategy.
  • Stay updated on industry trends and legal developments that impact M&A and private equity transactions.
  • Support broader M&A and private equity teams with ancillary transaction documents and compliance matters as needed.
  • Build and maintain strong relationships with clients, providing responsive and practical legal advice tailored to their business objectives.
  • Participate in client meetings, negotiations, and discussions to ensure confidentiality terms are clearly communicated and understood.

Requirements:

  • 2+ years of experience in mergers and acquisitions, with a focus on drafting and negotiating NDAs and related transactional agreements.
  • Strong understanding of M&A and private equity deal structures, confidentiality requirements, and transaction processes.
  • Demonstrated ability to manage NDA negotiations independently while providing strategic, client-focused advice.
  • Excellent negotiation and drafting skills with a detail-oriented approach to identifying risks and crafting solutions.
  • Strong analytical and problem-solving abilities with the capacity to handle complex legal issues.
  • Ability to manage multiple agreements and prioritize effectively in a high-pressure, deadline-driven environment.
  • Exceptional interpersonal skills with the ability to work collaboratively with clients, internal teams, and external parties.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Active and in good standing with the New York State Bar (or eligible for admission).
