Job Overview:

Duties and Responsibilities:

  • Advise clients on securities law and capital markets transactions, including equity and debt offerings.
  • Counsel clients on public company reporting obligations and corporate governance issues.
  • Draft, review, and negotiate legal documents related to securities offerings, including registration statements, offering memoranda, and related disclosures.
  • Manage and lead due diligence teams in connection with capital markets transactions.
  • Advise on compliance with Securities and Exchange Commission (SEC) regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Collaborate with specialists and other internal teams on transactions.
  • Stay current on changes in securities regulations and capital market trends, advising clients accordingly.
  • Work closely with clients to develop solutions for complex legal issues related to capital market transactions.
  • Provide strategic advice on SEC compliance, public disclosures, and corporate governance requirements.
  • Handle multiple client matters simultaneously, delivering timely and high-quality legal services.

Requirements:

  • 2-5 years of relevant experience in corporate law, specifically in securities law and capital markets transactions.
  • Demonstrated expertise in public company reporting obligations, SEC compliance, and corporate governance.
  • Experience advising on and leading due diligence processes for capital markets transactions.
  • Strong background in preparing and reviewing legal documents related to securities offerings.
  • Ability to work effectively under pressure, managing multiple projects with minimal supervision.
  • Exceptional legal writing and research skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active and in good standing with the New York State Bar.

Skills and Qualifications:

  • In-depth knowledge of SEC rules and regulations governing securities offerings and public company reporting.
  • Ability to manage complex legal transactions and work with cross-functional teams.
  • Strong analytical, problem-solving, and negotiation skills.
