Corporate Securities/Capital Markets Associate Attorney

Job Overview:

A law firm in New York City, NY, is seeking a highly motivated Corporate Securities/Capital Markets Associate Attorney with 2-5 years of experience in corporate law, particularly in securities law advice and capital markets transactions. The ideal candidate will have specific expertise in public company reporting obligations, public securities offerings, SEC compliance, corporate governance, and debt and equity markets transactions. The successful candidate should possess excellent writing skills, superior academic credentials, and the ability to manage multiple projects with minimal supervision.

Duties and Responsibilities:

• Advise clients on securities law and capital markets transactions, including equity and debt offerings.
• Counsel clients on public company reporting obligations and corporate governance issues.
• Draft, review, and negotiate legal documents related to securities offerings, including registration statements, offering memoranda, and related disclosures.
• Manage and lead due diligence teams in connection with capital markets transactions.
• Advise on compliance with Securities and Exchange Commission (SEC) regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Collaborate with specialists and other internal teams on transactions.
• Stay current on changes in securities regulations and capital market trends, advising clients accordingly.
• Work closely with clients to develop solutions for complex legal issues related to capital market transactions.
• Provide strategic advice on SEC compliance, public disclosures, and corporate governance requirements.
• Handle multiple client matters simultaneously, delivering timely and high-quality legal services.

Requirements:

• 2-5 years of relevant experience in corporate law, specifically in securities law and capital markets transactions.
• Demonstrated expertise in public company reporting obligations, SEC compliance, and corporate governance.
• Experience advising on and leading due diligence processes for capital markets transactions.
• Strong background in preparing and reviewing legal documents related to securities offerings.
• Ability to work effectively under pressure, managing multiple projects with minimal supervision.
• Exceptional legal writing and research skills.

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school.
• Active and in good standing with the New York State Bar.
