A law firm in San Diego, CA, is seeking a highly experienced Senior Corporate Associate Attorney to join their team. The ideal candidate will have significant expertise in emerging growth companies (EGC), venture capital transactions (VC), and mergers and acquisitions (M&A). This role requires strong analytical abilities, exceptional writing skills, and the capacity to work collaboratively within a dynamic legal environment.

Job Duties:

  • Manage and execute transactions involving emerging growth companies, venture capital financing, and mergers and acquisitions.
  • Conduct due diligence reviews, draft agreements, and negotiate terms related to corporate transactions.
  • Provide strategic counsel to clients on corporate governance matters and compliance issues.
  • Collaborate with internal teams and clients to achieve transactional objectives.
  • Maintain communication with clients, business professionals, and third parties to facilitate transactional processes.
  • Produce high-quality legal documents, including contracts, disclosures, and transactional reports.
  • Ensure compliance with legal standards and firm policies throughout the transactional process.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California State Bar.
  • Minimum of 6 years of experience focused on emerging growth companies, venture capital transactions, and mergers and acquisitions.
  • Direct experience in an AmLaw 100 law firm or SEC-related practice is preferred.
  • Strong analytical and writing skills with meticulous attention to detail.
  • Demonstrated business judgment and organizational skills.
  • Ability to work both independently and collaboratively in a team-oriented environment.
  • Excellent oral and written communication skills, with the ability to effectively interact with clients and colleagues.
  • Proficiency in legal research, problem-solving, and project management.

Preferred Certifications:

  • Certification or specialized training related to corporate law or securities regulation would be advantageous.
