Job Title: Corporate Transactions Associate Attorney

Job Location: San Francisco, CA

Job Overview:
A leading law firm is seeking a dynamic and experienced Corporate Transactions Associate to join its expanding practice group in San Francisco. This role offers an excellent opportunity for a motivated attorney to work on a variety of sophisticated corporate transactions, including venture capital financing, mergers and acquisitions, private equity deals, and general corporate counseling for both emerging companies and established entities. The firm is known for fostering a collaborative, fast-paced environment that prioritizes both personal and professional growth.

Duties:

  • Represent clients in venture capital and early-stage financings, M&A transactions, joint ventures, and other corporate transactions.
  • Provide legal advice on corporate governance, general corporate matters, and business law issues.
  • Draft and negotiate a wide array of legal documents, including shareholder agreements, investment documents, and mergers and acquisitions contracts.
  • Manage complex transactions and liaise directly with clients, partners, and stakeholders.
  • Provide strategic counsel to private equity funds, startups, entrepreneurs, and public and private companies.
  • Contribute to the growth of the firm’s practice by maintaining strong client relationships and assisting with business development efforts.

Requirements:

  • 2-5 years of relevant corporate law experience, particularly in venture capital, M&A, and private equity transactions.
  • Proven ability to manage projects and draft sophisticated legal documents with attention to detail.
  • Strong interpersonal skills and the ability to communicate effectively with clients and team members.
  • A proactive attitude with a willingness to take on responsibility and work independently.
  • Ability to build strong relationships with clients and colleagues.

Education:

  • JD from an ABA-accredited law school.
  • Must be in good standing and an active member of the California State Bar.

Certifications:

  • Active membership in the California State Bar is required.

Skills:

  • Excellent writing and communication skills.
  • Strong legal research and analytical abilities.
  • Project management skills with a high level of attention to detail.
  • Comfortable working in a fast-paced, client-facing role.
