Job Overview:
A leading law firm is seeking a dynamic and experienced Corporate Transactions Associate to join its expanding practice group in San Francisco. This role offers an excellent opportunity for a motivated attorney to work on a variety of sophisticated corporate transactions, including venture capital financing, mergers and acquisitions, private equity deals, and general corporate counseling for both emerging companies and established entities. Duties:

• Represent clients in venture capital and early-stage financings, M&A transactions, joint ventures, and other corporate transactions.
• Provide legal advice on corporate governance, general corporate matters, and business law issues.
• Draft and negotiate a wide array of legal documents, including shareholder agreements, investment documents, and mergers and acquisitions contracts.
• Manage complex transactions and liaise directly with clients, partners, and stakeholders.
• Provide strategic counsel to private equity funds, startups, entrepreneurs, and public and private companies.
• Contribute to the growth of the firm’s practice by maintaining strong client relationships and assisting with business development efforts.

Requirements:

• 2-5 years of relevant corporate law experience, particularly in venture capital, M&A, and private equity transactions.
• Proven ability to manage projects and draft sophisticated legal documents with attention to detail.
• Strong interpersonal skills and the ability to communicate effectively with clients and team members.
• A proactive attitude with a willingness to take on responsibility and work independently.
• Ability to build strong relationships with clients and colleagues.

Education:

• JD from an ABA-accredited law school.
• Must be in good standing and an active member of the California State Bar.

Certifications:

• Active membership in the California State Bar is required.

• Strong legal research and analytical abilities.
• Project management skills with a high level of attention to detail.
• Comfortable working in a fast-paced, client-facing role.
