Tax Associate Attorney

Job Overview: A law firm in Cleveland, OH, is seeking a skilled Tax Associate Attorney with a strong background in tax law, specifically focused on mergers and acquisitions (M&A). The ideal candidate will have substantial experience in M&A transactions, preferably gained from a Big 4 Accounting firm or an AmLaw 200 tax group.

• Duties:

  • Provide legal counsel on tax implications related to mergers, acquisitions, and other corporate transactions.
  • Conduct thorough legal research and analysis on tax issues, including federal, state, and international tax laws.
  • Draft and review legal documents, including contracts, agreements, and tax opinions.
  • Assist in due diligence investigations related to tax matters.
  • Advise clients on tax planning strategies and compliance matters.

• Requirements:

  • Minimum of 4 years of experience practicing tax law, focusing on mergers and acquisitions.
  • Experience gained in an AmLaw 200 tax group, federal Tax M&A group, or similar role at a Big 4 Accounting firm is preferred.
  • Juris Doctor (JD) degree from an accredited law school.
  • LL.M. in Taxation is required.
  • Admission to the Ohio state bar or admission eligibility via reciprocity.

• Certifications:

  • Admission to the Ohio State Bar or ability to obtain within a reasonable period.
  • LL.M. in Taxation.
