A law firm is seeking an experienced Investment Services Associate Attorney to join their team in Dallas, TX. The ideal candidate will have a strong background in regulatory and compliance matters related to federal securities laws, specifically the Investment Company Act of 1940 and the Securities Act of 1933. This role requires expertise in managing transactions, particularly those related to investment company reorganizations or mergers, and the ability to handle multiple matters simultaneously.

Duties:

  • Advise clients on regulatory and compliance matters involving federal securities laws.
  • Play a leading or critical role in transactions, especially investment company reorganizations or mergers.
  • Provide legal counsel to mutual funds, exchange-traded funds (ETFs), closed-end funds, and independent trustees and directors.
  • Conduct legal research and analysis to support client needs.
  • Prepare and review legal documents, including contracts and agreements.
  • Represent clients in negotiations and other legal proceedings.
  • Manage multiple legal matters simultaneously and prioritize tasks effectively.
  • Stay current on relevant laws and regulations changes to provide accurate and timely advice to clients.

Requirements:

  • 4-7 years of experience with registered investment companies and advisers.
  • In-depth knowledge of the Investment Company Act of 1940 and the Securities Act of 1933.
  • Proven ability to manage and lead transactions, particularly investment company reorganizations or mergers.
  • Experience working with mutual funds, ETFs, closed-end funds, and independent trustees and directors.
  • Demonstrated capability to handle multiple matters simultaneously.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Admission (in good standing) to the Texas State Bar or actively taking steps to become admitted in Texas.
