A law firm seeks a Debt Finance Associate Attorney to join a highly regarded team in its Chicago office. The ideal candidate will have 2-6 years of experience in structuring, documenting, and negotiating secured and unsecured financing transactions, including senior, mezzanine, and subordinated debt deals. The position will involve working with both borrowers and lenders on acquisition financings, loan workouts and restructurings, and debtor-in-possession financings. Candidates with leveraged finance experience, especially in the context of mergers and acquisitions, are highly preferred.

Duties:

  • Financing Transactions: Structure, document, and negotiate both secured and unsecured financing transactions for borrowers and lenders.
  • Acquisition Financing: Assist in structuring and documenting debt transactions related to mergers and acquisitions.
  • Debt Restructurings & Workouts: Guide loan workouts, restructurings, and debtor-in-possession financing matters.
  • Debt Instruments: Draft and review loan agreements, credit facilities, and other related financing documents.
  • Client Interaction: Work closely with clients to understand their needs and provide strategic legal advice.
  • Collaboration: Work alongside senior attorneys and cross-functional teams to deliver comprehensive legal solutions for clients.

Requirements:

  • Experience: 2-6 years of experience in debt finance, with a focus on secured and unsecured financing, acquisition financing, loan restructurings, and debtor-in-possession financing.
  • Leveraged Finance Expertise: Preferred experience in leveraged finance, particularly related to mergers and acquisitions.
  • Negotiation Skills: Strong skills in negotiating complex financing agreements and debt transactions.
  • Attention to Detail: Excellent ability to draft and review legal documents with a high degree of accuracy and thoroughness.
  • Client-Focused: Strong communication and interpersonal skills, with the ability to work directly with clients to provide tailored solutions.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active license to practice law in the relevant jurisdiction (e.g., Illinois).

Skills:

  • Debt Finance Expertise: Deep understanding of structured and unsecured finance transactions, including mezzanine and subordinated debt.
  • Legal Drafting & Negotiation: Ability to draft complex financing agreements and negotiate terms with multiple stakeholders.
  • M&A Experience: Familiarity with leveraged finance and M&A transactions.
  • Analytical Thinking: Strong problem-solving skills and ability to analyze complex financing structures.
  • Client Management: Excellent interpersonal skills for client communication and managing client relationships.
