A law firm seeks a highly skilled corporate transactional attorney with at least 7-12 years of experience to join its growing practice in Torrance, CA. The ideal candidate will have expertise in a range of corporate transactions, including mergers and acquisitions, financing, joint ventures, and the preparation and negotiation of related documents. This opportunity is ideal for a self-driven attorney who thrives in a dynamic environment and is comfortable working directly with clients on various aspects of complex transactions.

Key Duties

  • Lead and assist with mergers, acquisitions, financing, and joint venture transactions.
  • Draft, negotiate, and review transaction-related documents such as agreements and contracts.
  • Perform due diligence investigations and prepare related reports.
  • Manage transaction timelines and coordinate with clients and other professionals throughout the deal process.
  • Provide strategic legal advice to clients regarding corporate governance, legal compliance, and other transactional matters.
  • Work with a collaborative team to ensure all legal aspects of deals are thoroughly reviewed and handled effectively.
  • Maintain direct client relationships and manage ongoing client communications.

Position Requirements

  • A minimum of 7-12 years of experience in corporate transactional law, including mergers, acquisitions, joint ventures, and financing transactions.
  • Real estate transactional experience is a plus.
  • Proven ability to interact directly with clients and manage high-stakes transactions from start to finish.
  • Experience in performing due diligence and handling the entire lifecycle of corporate deals.
  • Strong communication skills, both written and verbal.
  • Ability to work effectively in a fast-paced, dynamic environment with minimal supervision.
  • Attention to detail and a strong work ethic.

Education

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.
  • Must be admitted to the California Bar.

Certifications

  • Active membership in the California Bar or eligibility for admission.
