Key Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax issues.
  • Assist in the formation and acquisition of tax exemptions for nonprofit corporations and charitable trusts.
  • Provide counsel to private foundations on grant agreements, tax compliance, and succession planning.
  • Advise high-net-worth philanthropists on charitable donations, including the use of donor-advised funds.
  • Guide large 501(c)(3) organizations on matters related to corporate governance, tax exemption issues, and Unrelated Business Taxable Income (UBTI).
  • Structure and oversee mergers, affiliations, and joint ventures involving nonprofit entities.
  • Provide strategic advice on complex structures that involve both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations during federal and state audits concerning tax and charitable matters.
  • Stay informed on current legal and regulatory developments impacting tax-exempt organizations and philanthropy.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to practice law in the state of Nevada or willing to obtain Nevada licensure.
  • Experience advising tax-exempt organizations, charitable foundations, and philanthropists.
  • Extensive knowledge of IRS regulations regarding tax-exempt organizations, private foundations, and charitable giving.
  • Experience handling mergers, affiliations, and joint ventures in the nonprofit sector.
  • Proven ability to represent clients during audits by federal and state authorities.

Education & Certifications:

  • Juris Doctor (JD) degree from a reputable law school.
  • Bar admission in Nevada or the ability to become licensed in Nevada.
