Job Overview: A law firm is seeking a highly skilled mid-level Corporate Associate to join its growing Business Department. This role offers a significant opportunity for an experienced corporate lawyer to take a senior position in complex corporate transactions. The ideal candidate will demonstrate leadership in managing deals, negotiating, and mentoring junior associates, contributing to a collaborative and inclusive work environment. The position is available in multiple office locations.

Location:

  • Philadelphia, PA 

Duties:

  • Manage corporate transactions such as mergers, acquisitions, venture capital, private equity, and joint ventures.
  • Take a senior role in running deals, including:
    • Drafting primary transaction agreements.
    • Negotiating with opposing counsel.
    • Supervising junior associates.
  • Advise public and/or private companies on securities law matters, including capital-raising transactions and compliance (preferred but not mandatory).

Requirements:

  • 4-6 years of experience in corporate law, particularly in mergers, acquisitions, venture capital, private equity, and joint ventures.
  • Proven ability to lead and manage corporate deals.
  • Strong negotiation skills and experience in supervising junior associates.
  • Familiarity with securities law and capital-raising transactions (preferred).

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar admission in at least one U.S. jurisdiction.

Skills:

  • Expertise in corporate transactional law.
  • Strong leadership and mentoring abilities.
  • Excellent drafting and negotiation skills.
  • Ability to handle complex transactions independently.
  • Strong interpersonal and communication skills.
