CLO Finance Associate

Job Overview

A law firm seeks a mid-level associate to join its Banking & Finance practice, specializing in Collateralized Loan Obligations (CLO) and related structured finance transactions. The ideal candidate will have a strong background in securitizations, warehouse financing, and other complex financial transactions. Duties

• Handle all aspects of CLO transactions, including structuring, negotiation, and documentation.

• Advise clients on legal and regulatory matters related to structured finance.

• Draft and review key transaction documents, including indentures, purchase agreements, offering circulars, and servicing agreements.

• Work on securitizations, warehouse financing, and other structured financial transactions.

• Conduct due diligence and provide legal analysis on finance-related matters.

• Collaborate with cross-functional teams, including tax, regulatory, and compliance groups.

• Ensure transactions comply with applicable laws and industry standards.

• Assist with client development and relationship management.

Requirements

• 3 to 5 years of experience in structured finance, with a focus on CLO transactions.

• Strong understanding of securitizations, warehouse financing, and related financial instruments.

• Excellent analytical, drafting, and negotiation skills.

• Ability to manage multiple transactions and deadlines in a fast-paced environment.

• Strong interpersonal and communication skills to interact with clients and internal teams effectively.

• Prior experience at a law firm with a reputable banking & finance practice is preferred.

Education

• Juris Doctor (JD) from an accredited law school.

• Graduation year: 2020-2022 preferred.

Certifications

• Active membership in the New York State Bar or eligibility for admission.
