A law firm seeks a Corporate Associate Attorney to join its growing team in Century City, California. This role is ideal for a highly skilled individual with experience in corporate law, particularly in areas related to real estate joint ventures, fund formation, M&A transactions, and securities compliance. The firm offers a collaborative, entrepreneurial environment with significant opportunities to work on complex, high-profile business transactions across the nation.

Duties:

  • Manage and support the drafting of LLC and LP agreements, real estate joint venture agreements, and related corporate documents.
  • Assist in the formation of real estate, venture, and private equity funds.
  • Provide legal counsel in mergers and acquisitions (M&A) transactions, including asset and equity purchases.
  • Advise clients on securities transactional and regulatory matters, including compliance with various federal acts such as the Securities Act and Investment Advisers Act.
  • Collaborate with senior attorneys on sophisticated business transactions across multiple sectors.
  • Engage in client interactions, providing clear communication and exceptional legal advice.
  • Manage multiple projects simultaneously while adhering to deadlines.

Requirements:

  • 4-6 years of experience in corporate law, specifically in real estate joint ventures, fund formation, and M&A transactions.
  • Strong experience in drafting and negotiating LLC and LP agreements.
  • Familiarity with securities regulations, including the Investment Company Act, Investment Advisers Act, and the Securities Act.
  • Exceptional academic credentials and analytical skills.
  • Proven ability to work independently as well as part of a collaborative team.
  • Strong verbal and written communication skills, with prior client-facing experience preferred.
  • Self-starter with a strong work ethic and a proactive approach.
  • Experience with AmLaw 200 firms is preferred.
  • Admission to the State Bar of California is required.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Active membership with the State Bar of California.

Skills:

  • Expertise in drafting corporate agreements, particularly for real estate joint ventures and fund formation.
  • In-depth knowledge of securities law and regulatory requirements.
  • Strong communication, negotiation, and drafting skills.
  • Ability to handle complex transactions and client matters efficiently.
