A law firm is seeking a talented Corporate Associate Attorney to join their Dallas office. The successful candidate will have a background in a wide array of corporate matters, such as mergers and acquisitions (M&A) and capital markets. Experience in private equity or tax equity on the corporate side will be considered a plus. High academic achievement, law firm experience, and strong research, analytical, writing, and communication skills are essential.

Duties and Responsibilities

  • Advise clients on a variety of corporate matters including mergers and acquisitions, capital markets, and general corporate governance.
  • Draft, review, and negotiate complex transactional documents, including purchase agreements, merger agreements, and partnership agreements.
  • Conduct due diligence and manage various aspects of transaction processes.
  • Provide strategic advice to clients on private equity and tax equity transactions.
  • Assist clients with SEC reporting and compliance, including preparing and reviewing periodic reports, proxy statements, and other filings.
  • Collaborate with other attorneys and legal staff to ensure high-quality and efficient legal services.
  • Participate in business development and client relationship management activities.
  • Stay current with developments in corporate law and applicable regulations to provide informed legal advice.

Requirements

  • Licensed to practice law in Texas or willing to take the Texas Bar Exam.
  • 2-4 years of experience in corporate law, with a focus on mergers and acquisitions and capital markets.
  • High academic achievement and a degree from an accredited law school.
  • Previous experience in a law firm setting.
  • Strong research, analytical, writing, and communication skills.
  • Ability to work both independently and collaboratively in a team environment.
  • Attention to detail and strong organizational skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active membership in the Texas Bar or willingness to take the Texas Bar Exam.
