Job Description:

Duties:

  • Advise clients on equity and debt capital markets transactions.
  • Draft and review offering memoranda, prospectuses, and other securities-related documentation.
  • Assist clients with compliance and regulatory issues related to capital markets.
  • Guide public securities offerings, including initial public offerings (IPOs), secondary offerings, and private placements.
  • Conducted due diligence and prepared related reports for capital market transactions.
  • Collaborate with clients to develop and implement strategic solutions for their capital markets needs.
  • Negotiate terms and conditions of securities offerings with underwriters, issuers, and other stakeholders.
  • Stay current on relevant securities laws and regulations.

Requirements:

  • 2-4 years of experience in equity and debt capital markets.
  • Significant experience in public securities offerings, including both equity and debt.
  • Major law firm experience preferred.
  • Bar membership in California state.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of California.
