Job Overview:

A prominent law firm is seeking a mid-level to senior Corporate Associate with expertise in public company reporting compliance, governance, and capital markets transactions. This role includes managing SEC compliance, disclosure matters, and Nasdaq/NYSE regulations. The ideal candidate will have experience representing issuers or investment banks in a variety of capital markets transactions and is especially suited for those with a background in technology and life sciences sectors.

Location:

  • Washington, D.C.

Duties:

  • Ensure public company compliance with reporting requirements, including SEC filings and disclosure
  • Oversee Nasdaq/NYSE compliance and address daily regulatory issues for public companies
  • Represent clients in capital markets transactions, such as:
    • Initial Public Offerings (IPOs)
    • Equity and debt offerings
    • Private investments in public entities (PIPEs)
    • At-the-market offerings
  • Provide legal support to clients in the technology and life sciences industries

Requirements:

  • Extensive experience in public company compliance, governance, and SEC regulations
  • Demonstrated expertise in capital markets transactions with issuers and investment banks
  • Familiarity with Nasdaq/NYSE compliance standards
  • Background in the technology and/or life sciences sectors is beneficial

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active bar membership in good standing in the relevant jurisdiction(s)

Skills:

  • Strong knowledge of public company governance and SEC compliance
  • Proficient in capital markets transactions and related legal requirements
  • Exceptional client service and communication skills
  • Ability to manage complex transactions and meet critical deadlines
