A law firm in Roseland, NJ, seeks a highly skilled Member-level Corporate Attorney with expertise in general corporate matters. The ideal candidate must have at least 5 years of experience and be admitted to the New Jersey Bar. Admission to the New York Bar or other jurisdictions is a plus. Duties:

  • Manage general corporate matters, securities-related transactions (private placements, venture capital, private equity, and investment funds), and corporate matters relating to real estate development and joint ventures.
  • Provide legal counsel and strategic advice to clients on complex corporate and finance issues.
  • Draft, review, and negotiate various legal documents, contracts, and agreements.

Requirements:

  • Minimum of 5 years of experience in corporate law.
  • Admission to the New Jersey Bar is required; admission to the New York Bar or other jurisdictions is a plus.
  • Strong understanding of corporate finance, securities laws, and real estate development.
  • Excellent analytical, communication, and negotiation skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Demonstrated track record of successfully managing complex legal matters and transactions.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New Jersey Bar is required.
  • Admission to the New York Bar or other jurisdictions is a plus.

Skills:

  • Proficiency in legal research and writing.
  • Strong attention to detail and accuracy.
  • Ability to prioritize tasks and meet deadlines effectively.
  • Sound judgment and decision-making abilities.
  • Experience with document management and legal software is preferred.
