Job Title: Private Equity/Mergers and Acquisitions Associate Attorney

Job Overview:

A prestigious law firm in Rochester, NY is seeking a Private Equity/Mergers & Acquisitions (M&A) Associate Attorney with 4-8 years of experience in corporate transactional law. The selected attorney will collaborate with an accomplished team working with private equity firms, independent sponsors, and other investment groups. The role emphasizes delivering strategic, business-focused legal advice in a supportive, team-oriented environment.

Duties:

  • Collaborate with private equity firms, independent sponsors, family offices, private companies, and investment groups.
  • Handle private company M&A transactions, including drafting and negotiating purchase agreements.
  • Act as a “second chair” on deals, managing key aspects under partner supervision.
  • Provide risk-adjusted legal advice to clients to help them achieve business outcomes and close deals.
  • Support clients in the lower middle market with sophisticated transactional guidance.
  • Participate in deal structuring and execution alongside senior attorneys.

Requirements:

  • 4-8 years of experience in corporate transactional law, with a focus on private equity and mergers & acquisitions.
  • Strong experience in drafting and negotiating purchase agreements.
  • Proven ability to manage key aspects of a deal and assist in guiding transactions to completion.
  • Experience working with private companies, middle-market private equity firms, and independent sponsors.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Bar in New York State or ability to transfer licensing.

Certifications:

  • Active and in good standing with the New York State Bar.

Skills:

  • Strong drafting, negotiation, and legal research skills.
  • Ability to communicate complex legal concepts clearly and effectively.
  • Excellent client-facing communication and interpersonal skills.
  • Strong organizational and time management abilities to handle multiple transactions simultaneously.
  • Detail-oriented with the ability to identify and mitigate legal risks.
