A law firm in Boston, MA, is seeking a skilled Mid-Level Real Estate Industry REITs and M&A Associate Attorney. The ideal candidate will possess substantial experience with public company practices, including equity and debt capital markets transactions, mergers and acquisitions (both public and private), and advising listed companies on disclosure, corporate governance, and securities law matters. Experience with public REITs and the REIT sector is a plus. The candidate must have outstanding academic credentials, comparable law firm experience, and excellent communication skills. A relevant Bar admission (or eligibility to obtain admission promptly) and a deal sheet are required.

Duties:

  • Advise public companies on equity and debt capital markets transactions, including both registered and unregistered offerings.
  • Manage mergers and acquisitions for both public and private entities.
  • Counsel listed companies on disclosure, corporate governance, and compliance with securities laws.
  • Provide legal support and advice on REIT-specific transactions and regulatory matters.
  • Draft, review, and negotiate transactional documents related to equity and debt offerings, M&A, and corporate governance.
  • Conduct due diligence for M&A transactions and capital markets activities.
  • Collaborate with other attorneys and professionals in the firm to deliver comprehensive legal services to clients.
  • Keep abreast of industry trends, regulatory changes, and best practices in REITs and M&A.

Requirements:

  • 3-4 years of experience in public company practice, equity and debt capital markets transactions, and M&A.
  • Proven ability to advise on disclosure, corporate governance, and securities law matters.
  • Experience with public REITs and the REIT sector is a plus.
  • Outstanding academic credentials from a top-tier law school.
  • Demonstrated ability to manage complex legal matters and provide strategic advice to clients.
  • Excellent written and verbal communication skills.
  • Strong interpersonal skills and a collaborative approach to teamwork.
  • Relevant Bar admission (or eligibility to obtain admission promptly).
  • Deal sheet showcasing relevant transactional experience.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Bar in Massachusetts (or eligibility to obtain admission promptly).

Skills:

  • Extensive knowledge of public company practices, capital markets, and M&A transactions.
  • Proficiency in drafting and negotiating complex transactional documents.
