Job Title: Life Sciences Associate Attorney -IP And Commercial Transactions

Job Location: New York City, NY

Job Overview: A dynamic law firm in New York City is currently seeking a skilled and experienced associate attorney to join its IP and Commercial Transactions team. The ideal candidate will bring a minimum of 5 years of experience with a specialized focus on advising pharmaceutical, biotech, and medtech companies in the areas of licensing, collaborations, and other commercial agreements. In addition, experience in buy-side private M&A within the life sciences sector will be highly valued.

Duties:

  • Provide strategic legal guidance on intellectual property, licensing, and commercial transactions within the life sciences sector.
  • Advise clients on complex pharmaceutical, biotech, and medtech collaborations, including licensing agreements and joint ventures.
  • Handle a variety of commercial agreements, from the negotiation phase to final execution.
  • Collaborate with cross-disciplinary teams to manage complex legal projects and high-stakes transactions.
  • Counsel clients on regulatory compliance and intellectual property protection matters.
  • Lead the drafting, negotiation, and execution of agreements and other key legal documents.
  • Support M&A transactions in the life sciences space, focusing on buy-side activities.

Requirements:

  • At least 5 years of legal experience in intellectual property and commercial transactions, with a strong emphasis on life sciences sectors such as pharma, biotech, and medtech.
  • Minimum of 2 years of experience advising on licensing, collaborations, and commercial agreements in the life sciences industry.
  • Proven experience in private M&A transactions within the life sciences or related industries.
  • Strong understanding of life sciences regulations and intellectual property law.
  • Ability to handle high-level client interactions and provide strategic counsel.
  • Excellent negotiation and communication skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in New York.

Skills:

  • Expertise in IP law, commercial transactions, and life sciences.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple, complex matters in a fast-paced environment.
