A law firm seeks a mid-level associate attorney to join its securities and capital markets practice in Aspen, CO. The ideal candidate will have 3 to 5 years of experience in handling debt and equity capital market transactions, public and private securities offerings, joint ventures, and SEC compliance matters. This position offers a collaborative environment where the associate will work across various corporate law matters, including mergers and acquisitions and governance, in addition to securities transactions.

Duties:

  • Advise clients on debt and equity capital market transactions, including public and private securities offerings.
  • Assist clients with SEC compliance and disclosure requirements.
  • Collaborate on joint ventures, corporate governance, and general corporate matters.
  • Conduct legal research and draft documents such as securities filings, transactional agreements, and disclosure statements.
  • Work closely with senior attorneys on mergers and acquisitions and corporate governance matters.
  • Ensure compliance with federal and state securities laws and regulations.
  • Engage with clients to develop strategic approaches to their capital markets and corporate transactions.

Requirements:

  • 3 to 5 years of experience in securities and capital markets law, preferably at a top-tier law firm.
  • Experience with SEC compliance, public and private securities offerings, and capital market transactions.
  • M&A experience is helpful but not required.
  • Strong written and oral communication skills.
  • Ability to work effectively in a team-oriented environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in Colorado, Utah, Idaho, or Nevada, or eligible for admission.

Skills:

  • Proficiency in securities and capital markets transactions and related corporate law.
  • Strong legal research and drafting skills.
  • Ability to manage multiple transactions and meet deadlines in a fast-paced environment.
  • Excellent interpersonal and communication abilities for client engagement.
