Job Overview

A prestigious international law firm is seeking a seasoned Of Counsel to join its Leveraged Finance practice group. This high-growth group is recognized for its supportive and collegial culture and advises a broad array of clients including lead arrangers, direct lenders, borrowers, issuers, and corporates. The ideal candidate will bring extensive experience in structuring and executing complex financing transactions and will be comfortable managing a diverse caseload with autonomy and professionalism.

Duties

• Lead, structure, and execute various financing transactions including:

  • Traditional first lien, unitranche, stretch senior, second lien, and subordinated loans

  • Asset-based lending (ABL) facilities

  • Subscription and NAV facilities

  • Structured equity investments (including preferred stock financings and equity co-investments)

• Advise lead arrangers, direct lenders, and other institutional clients

• Support borrowers, issuers, and corporate clients in capital structure matters

• Provide clear, strategic legal counsel in fast-paced deal environments

• Collaborate with internal and external legal teams and stakeholders

• Ensure quality, timely, and compliant deliverables

• Maintain and build strong client relationships

Requirements

• Minimum 9 years of experience in leveraged finance or related areas (debt capital markets, private credit, fund finance, or structured finance)

• Prior experience with AmLaw 100 law firms preferred

• Strong understanding of commercial lending markets and financial instruments

• Demonstrated ability to manage complex deals and clients independently

Education

• Juris Doctor (JD) degree required

Certifications

• Licensed to practice law in the state of New York
