Job Overview: A law firm in Dallas, TX, is seeking a highly skilled and motivated Mid-Level Corporate M&A / Private Equity Mergers And Acquisitions Associate Attorney. This role is designed for an individual with extensive experience in business and transactional law, particularly in mergers and acquisitions, recapitalizations, and complex transactions. The ideal candidate will manage and conduct due diligence, draft and negotiate transactional documents, and oversee the M&A process while working closely with shareholders and clients.

Duties and Responsibilities:

  • Conducted and managed due diligence for mergers and acquisitions, recapitalizations, joint ventures, and other complex transactions.
  • Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and disclosure schedules.
  • Oversee the entire mergers and acquisitions process, from initial negotiations through closing.
  • Collaborate directly with shareholders and clients to provide strategic legal advice and support.
  • Stay abreast of industry trends, legal developments, and best practices in mergers and acquisitions.
  • Utilize supporting technologies such as Kira to streamline the M&A process and enhance efficiency.
  • Provide guidance and mentorship to junior associates and support staff.
  • Participate in business development activities to expand the firm's M&A practice.

Requirements:

  • Minimum of 3+ years of business and transactional experience focusing on mergers and acquisitions, recapitalizations, and joint ventures.
  • Proven experience in managing complex transactions and conducting due diligence.
  • High level of academic achievement and a strong track record of law firm experience.
  • Excellent writing, drafting, and communication skills.
  • Experience with M&A supporting technologies like Kira is highly desirable.
  • Strong interest in developing and enhancing mergers and acquisitions practice capabilities.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the State Bar in Texas.

Skills:

  • Expertise in mergers and acquisitions, including transaction management and due diligence.
  • Proficiency in drafting and negotiating transactional documents.
  • Exceptional written and verbal communication skills.
  • Ability to manage multiple complex transactions simultaneously.
  • Familiarity with M&A technologies and eagerness to adopt and utilize new tools.
  • Strong analytical and problem-solving abilities.
