A law firm in Charlotte is seeking a Structured Finance/Securitization Associate Attorney to join their Financial Services practice. The ideal candidate will have 1-2 years of transactional experience, ideally with structured finance and/or securitization transactions. This role involves working on the Structured Finance and Securitization Team, representing issuers, underwriters, borrowers, and lenders in structured finance term and warehouse transactions. Strong interpersonal skills and excellent academic credentials are required.

Job Duties:

  • Assist in structuring, negotiating, and documenting structured finance transactions, including asset-backed securities (ABS), mortgage-backed securities (MBS), collateralized loan obligations (CLOs), and other securitization vehicles.
  • Conduct due diligence, draft transaction documents, and ensure compliance with regulatory requirements.
  • Collaborate with clients and internal teams to develop and execute transactional strategies that meet business objectives.
  • Provide legal advice and support on complex financial transactions, including reviewing and analyzing legal issues related to securities laws, regulatory matters, and contractual obligations.
  • Work closely with senior attorneys to manage transactional matters from inception through closing.
  • Prepare legal opinions, memoranda, and presentations for clients on structured finance and securitization issues.
  • Stay informed about developments in structured finance laws, regulations, and industry trends.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in the North Carolina State Bar or ability to waive in promptly.
  • 1-2 years of transactional experience, with exposure to structured finance and/or securitization transactions preferred.
  • Strong understanding of financial instruments and securities laws.
  • Excellent academic credentials, including law school performance and relevant coursework.
  • Demonstrated ability to work independently and as part of a team in a fast-paced environment.
  • Exceptional written and verbal communication skills.

Preferred Skills:

  • Experience in representing issuers, underwriters, borrowers, or lenders in structured finance transactions.
  • Familiarity with legal issues related to ABS, MBS, CLOs, and other securitization vehicles.
  • Knowledge of regulatory compliance requirements and industry standards in structured finance.
  • Ability to analyze complex financial structures and provide practical legal advice.

Certifications:

  • Active membership in the North Carolina State Bar or ability to waive in promptly.
