Job Overview:

A reputable law firm in Detroit, MI is looking to hire a Corporate Associate Attorney with 4+ years of experience, particularly in working with tax-exempt entities and nonprofit organizations. This position involves handling the full lifecycle of nonprofit entities and offering expert legal counsel on a variety of corporate matters. The role requires client-facing responsibilities, and the ideal candidate will thrive in a dynamic, client-oriented environment, offering practical solutions and clear guidance.

Duties:

• Advise clients on corporate governance matters, including board structure and operations.
• Handle legal entity formation, filings, and corporate compliance for nonprofit organizations.
• Create and draft legal templates, including documents for IRS exemption applications.
• Guide unrelated business taxable income (UBTI) and related issues.
• Draft and negotiate contracts with nonprofit clients.
• Conduct state- and federal-level tax-specific research as required.
• Collaborate with clients to address their legal needs while maintaining strong professional relationships.
• Potential to handle issues surrounding charitable gifts and planned giving.

Requirements:

• Minimum of 4 years of experience in corporate law, specifically with nonprofit and tax-exempt entities.
• Must be licensed to practice law in the State of Michigan.
• Proven ability to manage multiple clients and projects simultaneously.
• Excellent verbal and written communication skills.
• Strong attention to detail and the ability to work under pressure.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Active license to practice law in Michigan.

Skills:

• Strong corporate legal background, particularly in nonprofit law and tax-exempt organizations.
• Familiarity with IRS exemption applications and governance for nonprofits.
• Experience with legal research and the ability to advise on state and federal tax matters.
• Negotiation skills and contract drafting experience.
• Client-facing experience, with the ability to build and maintain client relationships.
