A law firm is seeking an experienced Corporate M&A Associate Attorney to join its growing team. The position will focus on drafting, negotiating, and overseeing various transactional documents, with opportunities to engage directly with clients. The ideal candidate will have significant experience in mergers and acquisitions (M&A), joint ventures, and other complex commercial transactions. This role is ideal for a candidate with a high level of academic achievement, strong law firm experience, and excellent writing, drafting, and communication skills.

Key Responsibilities

  • Draft, review, and negotiate complex transactional documents, including asset purchase agreements, stock purchase agreements, and joint venture agreements.
  • Advise clients on M&A transactions, including due diligence, structuring, and closing processes.
  • Work directly with clients to understand their business goals and provide tailored legal solutions.
  • Manage all aspects of the M&A process from initial discussions to post-closing integration.
  • Lead and coordinate due diligence efforts, including the review of contracts, financials, and corporate governance documents.
  • Collaborate with partners, senior attorneys, and other practice groups to provide comprehensive legal services.
  • Draft memoranda, correspondence, and other legal documents for internal and client use.
  • Negotiate terms and conditions in a variety of commercial agreements.
  • Stay up to date on legal developments related to M&A, joint ventures, and other corporate transactions to advise clients effectively.

Requirements

  • 5+ years of business and transactional experience, with a focus on M&A, joint ventures, and other complex commercial transactions.
  • Proven experience in drafting and negotiating a wide range of transactional documents.
  • Strong understanding of business strategy, corporate finance, and governance issues related to M&A transactions.
  • Law firm experience with exposure to significant corporate transactions and client interaction.
  • Superb writing, drafting, and communication skills, with a high level of accuracy and attention to detail.
  • Ability to work efficiently in a fast-paced, deadline-driven environment.

Education and Certifications

  • Juris Doctor (J.D.) from an accredited law school with a strong academic record.
  • Admission to the Bar in Pennsylvania or eligibility for admission.
