A law firm seeks a Principal Attorney specializing in fund formation to join its Business Practice Group in Seattle, WA. This role provides an opportunity to advise a broad client base on sophisticated fund-related matters across diverse industry sectors, working closely with a collaborative team of attorneys across various practice areas.

Duties

  • Oversee the creation and structuring of private investment funds, including venture funds, incubators, accelerators, private equity, and crypto-focused funds.
  • Draft and negotiate essential fund documents, such as limited partnership agreements, subscription agreements, and private placement memoranda.
  • Provide strategic guidance on fund structuring and regulatory compliance.
  • Offer continuous advisory support to fund managers and investors on fund operations.
  • Counsel clients on corporate governance matters, including fiduciary duties and managing conflicts of interest.
  • Assist with regulatory filings and compliance matters related to private investment funds.
  • Ensure compliance with federal and state securities laws and regulations.
  • Advise clients on SEC regulations, including the Investment Company Act and Investment Advisers Act.
  • Handle securities filings and reporting requirements.
  • Negotiate and draft investment transaction documents.
  • Collaborate with other practice groups on multidisciplinary transactions.
  • Provide support on mergers, acquisitions, joint ventures, and other corporate transactions involving fund clients.
  • Engage in business development and relationship-building activities with new and existing clients.
  • Monitor industry trends to deliver forward-thinking advice to clients.

Requirements

  • Experience: Minimum of 7 years in fund formation, particularly in private equity, real estate, venture capital, and other illiquid asset classes, with expertise in structuring, capital raising, compliance, and related legal issues.
  • Book of Business: A portable client base is required.
  • Academic Credentials: JD from an ABA-accredited law school with a strong academic background.
  • Licensing: Active law license.
  • Skills: Advanced analytical, drafting, and negotiation abilities, with a client-focused approach and excellent verbal and written communication skills.
  • Project Management: Proven ability to manage multiple responsibilities effectively and strong organizational skills.

Education

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications

  • Active law license.
