A law firm seeks a mid-level Mergers & Acquisitions Associate to join its team in New York. This position is ideal for attorneys with 4 to 6 years of experience in M&A, who are interested in supporting clients with complex transactions, from due diligence to drafting and negotiation. The role requires working collaboratively with cross-functional teams and providing strategic legal guidance to clients in various M&A matters.

Duties:

  • Lead due diligence efforts in mergers and acquisitions by reviewing financial statements, contracts, and other pertinent documents.
  • Draft and negotiate key transactional documents such as merger agreements, asset purchase agreements, and confidentiality agreements.
  • Oversee and manage the due diligence process for M&A transactions.
  • Conduct in-depth legal research and analysis on complex issues related to M&A.
  • Advise clients on the legal aspects of mergers and acquisitions, offering strategic and proactive guidance.
  • Collaborate with stakeholders, both internal and external, to ensure compliance with relevant laws, regulations, and industry standards.
  • Assist in the preparation and review of legal documents, including memoranda, legal opinions, and presentations.
  • Stay up-to-date with industry trends and legal developments to provide informed advice to clients.

Requirements:

  • 4 to 6 years of legal experience, with a focus on M&A law, currently practicing at a large law firm.
  • Experience representing both public and private companies in a range of transactions, including acquisitions, joint ventures, and corporate governance.
  • Strong understanding of market terms and industry practices related to M&A.
  • Excellent drafting skills, with attention to detail and the ability to produce high-quality legal documents.
  • Proven ability to manage parts of transactions independently and work collaboratively within teams.
  • Ability to adapt and be flexible in a fast-paced, dynamic work environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the New York Bar and in good standing.

Skills:

  • Strong research and analytical skills, particularly in the context of M&A.
  • Excellent communication skills, both written and verbal.
  • Exceptional drafting and negotiation abilities.
