A law firm is seeking a highly skilled and motivated Mid-Level Private Equity Associate Attorney to join their team in Palo Alto, CA. The ideal candidate will have significant experience advising private equity firms and their portfolio companies on a variety of complex transactions, including mergers and acquisitions, leveraged buyouts, equity investments, and other general corporate matters.

Duties and Responsibilities:

  • Advise private equity firms and their portfolio companies on complex transactions, including mergers and acquisitions, leveraged buyouts, and equity investments.
  • Provide strategic counsel on a variety of general corporate matters.
  • Conduct thorough legal research and draft high-quality legal documents, including transaction agreements, disclosure schedules, and related documentation.
  • Manage all aspects of transactions, including due diligence, negotiations, and closings.
  • Collaborate with clients to develop and implement strategies that align with their business objectives.
  • Produce timely, accurate, and high-quality work products.
  • Effectively communicate, both verbally and in writing, with clients, lawyers, business professionals, and third parties.
  • Successfully meet deadlines and perform work duties as required.
  • Foster positive work relationships and comply with all firm policies and practices.
  • Engage in both physical and sedentary activities, such as working at a computer for extended periods, participating in digital/virtual conference calls, and attending meetings as needed.
  • Perform all other duties, tasks, or projects as assigned.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in California.
  • Minimum of 3 years of experience advising private equity firms and their portfolio companies in complex transactions.
  • Direct and applicable AmLaw 100 law firm or SEC experience.
  • Strong analytical and writing skills.
  • Excellent organizational and management skills.
  • Demonstrated oral and written communication skills.
  • Strong research and problem-solving skills.
  • Ability to produce deliverables, answer phone calls, and reply to correspondence in an efficient and responsive manner.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to practice law in California.
