Job Overview:

A law firm based in Houston, TX, is seeking a skilled Project Finance Associate Attorney with 3-5 years of substantial transactional experience in debt project finance and/or tax equity. The ideal candidate will have a robust background in negotiating, preparing, reviewing, and finalizing a range of credit agreements and tax equity transaction documents. The role involves significant due diligence and expertise in key project agreements.

Duties and Responsibilities:

  • Negotiate, prepare, and review credit agreements, inter-creditor arrangements, collateral documents, and ancillary credit documents.
  • Handle tax equity transaction documents including equity capital contribution agreements, membership interest purchase agreements, LLC agreements, leases, and related documents.
  • Conduct due diligence and review key project agreements such as joint venture agreements, feedstock agreements, offtake agreements, EPC/EPCM contracts, O&M services agreements, transportation agreements, and commodity purchase and sale agreements.
  • Collaborate with clients, stakeholders, and other legal professionals to ensure comprehensive and compliant documentation.
  • Provide legal counsel on complex financial structures and project finance issues.
  • Assist in managing transactions from inception through to closing, ensuring all legal aspects are addressed.

Requirements:

  • 3-5 years of experience in debt project finance and/or tax equity, with a strong emphasis on transactional work.
  • Demonstrated experience in negotiating and drafting credit agreements and tax equity transaction documents.
  • Proven track record in conducting due diligence on a variety of project agreements.
  • Ability to work independently and as part of a team in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Texas State Bar.

Skills:

  • Strong analytical and problem-solving skills.
  • Excellent negotiation and drafting abilities.
  • Proficiency in project finance structures and documentation.
  • High attention to detail and organizational skills.
  • Effective communication skills, both written and verbal.
  • Ability to manage multiple projects and deadlines simultaneously.
