A law firm in Houston is seeking a Finance Associate Attorney with experience representing lenders (investment and commercial banks, business development companies, or other providers of debt financing) and/or borrowers (including private equity sponsors) in sophisticated financings for acquisitions, buyouts, restructurings, special situations, and other corporate finance transactions. The ideal candidate will have sponsor or lender-side finance experience.

 

Duties:

  • Represent lenders and/or borrowers in sophisticated financings for acquisitions, buyouts, restructurings, special situations, and other corporate finance transactions.
  • Draft, review, and negotiate finance-related agreements, including credit agreements, loan documents, security agreements, and intercreditor agreements.
  • Conduct due diligence and research related to finance transactions.
  • Analyze complex legal issues and provide strategic advice to clients.
  • Collaborate with partners and senior attorneys to develop transaction strategies and achieve successful outcomes for clients.
  • Communicate effectively with clients, opposing counsel, and other stakeholders.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of Texas in good standing.
  • Experience at a peer firm representing lenders and/or borrowers in finance transactions.
  • Sponsor or lender-side finance experience preferred.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to work independently and as part of a team.
  • Commitment to excellence and client service.

  • Strong understanding of finance principles and practices.
