A law firm in San Francisco, CA, is seeking a proactive and knowledgeable Corporate Securities/Capital Markets Associate Attorney with 2-5 years of experience in corporate law, specifically focusing on securities law and capital markets transactions. The ideal candidate should have significant expertise in public company reporting obligations, public securities offerings, SEC compliance, corporate governance, and debt and equity market transactions. The successful candidate will demonstrate excellent legal writing skills, strong academic credentials, and the ability to manage multiple projects with minimal oversight.

Duties and Responsibilities:

  • Provide legal counsel on various securities law matters, including debt and equity securities offerings.
  • Advise clients on public company reporting obligations and corporate governance practices, ensuring compliance with SEC regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Draft, review, and negotiate legal documents such as registration statements, offering memoranda, and related disclosures for securities offerings.
  • Lead due diligence teams for capital markets transactions, managing specialists to ensure thorough and compliant reviews.
  • Collaborate with internal teams and clients’ advisors on complex capital markets transactions.
  • Advise clients on SEC compliance and best corporate governance practices.
  • Keep up to date with changes in securities regulations and market conditions, providing strategic advice to clients.
  • Assist in preparing and filing periodic reports, proxy statements, and other SEC-required disclosures.
  • Handle multiple assignments and client matters concurrently, ensuring the timely and accurate delivery of legal services.

Requirements:

  • 2-5 years of experience in corporate law, with significant exposure to securities law and capital markets transactions.
  • Strong understanding of public company reporting obligations, SEC compliance, and corporate governance requirements.
  • Proven ability to lead due diligence efforts and manage specialists in capital markets transactions.
  • Experience drafting, reviewing, and negotiating legal documents related to securities offerings.
  • Demonstrated ability to manage multiple assignments effectively with minimal supervision.
  • Excellent writing, research, and analytical skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law and in good standing with the California State Bar.

Skills and Qualifications:

  • In-depth knowledge of SEC regulations, public securities offerings, corporate governance, and reporting obligations.
  • Strong leadership and organizational skills, with experience managing cross-functional teams in complex transactions.
