Job Overview:
A prominent national law firm is seeking a highly skilled Finance Associate with 5-6 years of experience to join its industry-leading finance practice. The ideal candidate will have experience in complex finance transactions and be well-versed in UCC Article 9 and bankruptcy code. Location:

  • Philadelphia, PA

Duties:

  • Represent a wide variety of institutional clients, including commercial banks, finance companies, private equity firms, investors, developers, and non-profits.

  • Work on complex finance transactions, including syndicated and portfolio transactions.

  • Apply a strong understanding of Article 9 of the UCC and the bankruptcy code in all phases of commercial finance transactions.

  • Participate in workouts, restructuring, and M&A transactions, with a focus on private equity.

  • Draft legal documents, such as loan agreements, credit facility agreements, and related transactional documents.

  • Provide legal advice to clients regarding commercial finance matters and contribute to strategic decision-making.

Requirements:

  • 5-6 years of experience in finance law, with a strong transactional background.

  • Expertise in syndicated and portfolio transactions, with experience in UCC Article 9 and the bankruptcy code.

  • Experience with workouts, restructuring, M&A, and/or private equity transactions is a plus.

  • Exceptional academic credentials and strong writing and analytical skills.

  • Ability to work both independently and collaboratively within a team environment.

  • Active bar membership in the location for which you wish to be considered (preferred).

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Active bar membership in the location for which you wish to be considered (preferred).

Skills:

  • Strong knowledge of commercial finance law, including UCC Article 9 and bankruptcy code.

  • Ability to manage complex transactions and work with a diverse range of institutional clients.

  • Excellent written and verbal communication skills.

  • Strong analytical skills with the ability to provide strategic legal advice.

  • Team-oriented with the ability to work independently when necessary.
