Job Title: Project Finance Associate Attorney

Job Overview:
A prestigious law firm in New York City is seeking an experienced Project Finance Associate Attorney to join its team. The ideal candidate will have 3 to 6 years of significant transactional experience in debt project finance and/or tax equity. This role will involve the preparation, review, and negotiation of key agreements related to credit transactions and tax equity deals, as well as conducting due diligence on vital project documents. This position provides an opportunity to work on high-profile projects with top-tier legal professionals.

Duties:

  • Led and assisted in the negotiation and preparation of credit agreements, inter-creditor arrangements, collateral documents, and other related agreements.
  • Review and negotiate tax equity transaction documents, including equity capital contribution agreements, membership interest purchase agreements, LLC agreements, leases, and other ancillary documents.
  • Conduct thorough due diligence on key project agreements such as joint venture agreements, feedstock agreements, offtake agreements, EPC/EPCM contracts, O&M services agreements, transportation agreements, and commodity purchase/sale agreements.
  • Provide strategic legal guidance and support throughout the lifecycle of complex financing transactions.
  • Collaborate with internal and external teams to ensure seamless execution of transactions.
  • Manage and coordinate tasks in high-pressure environments, meeting client and project deadlines.

Requirements:

  • 3-6 years of experience in transactional law, particularly in debt project finance or tax equity.
  • Proven track record of handling complex financial and legal transactions, including credit and equity deals.
  • Strong proficiency in reviewing and drafting project agreements.
  • Solid understanding of the project finance lifecycle, from inception to completion.
  • Excellent communication and negotiation skills, with the ability to manage relationships with clients, counterparties, and other stakeholders.
  • Ability to work independently as well as in a collaborative team environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the relevant jurisdiction.

Skills:

  • Expertise in drafting and negotiating complex contracts.
  • Strong analytical and problem-solving abilities.
  • Excellent verbal and written communication skills.
  • Ability to work efficiently under pressure and manage multiple tasks simultaneously.
