Job Overview:
A prestigious law firm is seeking a motivated and skilled Corporate Associate Attorney to join their team, specializing in Employee Stock Ownership Plan (ESOP) transactions and compliance. This position offers the opportunity to gain expertise in a growing niche field while working alongside experienced attorneys in a dynamic and collaborative environment. The role will allow immediate client interaction and provide hands-on mentorship from seasoned professionals.

Duties:

  • Conduct legal research focused on ESOP regulations, ERISA compliance, and corporate governance.

  • Draft key documents including plan agreements, transaction agreements, and compliance filings under the guidance of senior attorneys.

  • Assist with due diligence related to ESOP transactions, including reviewing corporate documents and financial statements.

  • Communicate and coordinate with clients, financial advisors, and third-party administrators to facilitate transactions and ensure plan compliance.

  • Support negotiation efforts and closing processes for ESOP-related transactions.

  • Stay up-to-date with changes in ESOP and ERISA regulations to deliver proactive and strategic legal advice to clients.

Requirements:

  • 2-3 years of experience as an associate attorney, preferably in a corporate or other relevant practice area, with a strong interest in ESOPs and ERISA.

  • Exceptional analytical, communication, and problem-solving skills.

  • Eagerness to develop expertise in a specialized practice area and grow professionally.

  • Strong interpersonal skills and a client-focused approach.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Active Bar license in Ohio, or eligibility for admission.

Skills:

  • Strong research and writing abilities.

  • Experience in corporate transactions is a plus.

  • Ability to manage multiple tasks and priorities efficiently.

  • Collaborative mindset with a proactive approach to client service.
