Job Overview: A law firm is seeking a Corporate Finance Associate Attorney with 3-6 years of substantive debt financing experience to join its Corporate Department. The ideal candidate will have strong deal experience, particularly in asset-based and leveraged acquisition financing transactions. The position offers the opportunity to work on sophisticated debt financing transactions with both domestic and international clients, handling significant portions of these deals. The candidate will work with a variety of bank and non-bank financial institutions in syndicated and senior debt transactions.

Location:

  • Dallas, TX

Duties:

  • Manage debt financing transactions, including asset-based and leveraged acquisition financing.
  • Work with bank and non-bank financial institutions on syndicated and club senior debt transactions.
  • Draft and negotiate financing documents, including credit agreements and other related contracts.
  • Lead significant portions of transactions, ensuring smooth execution and closing.
  • Handle both domestic and international credit facilities for direct and sponsored transactions.
  • Collaborate with senior attorneys and financial institutions to structure complex debt financing deals.

Requirements:

  • 3-6 years of experience in debt financing, focusing on asset-based and leveraged acquisition transactions.
  • Strong experience working with a variety of financial institutions, including banks and non-banks.
  • Proven ability to lead and manage significant portions of complex financing deals.
  • Excellent academic credentials.
  • Licensed to practice law in Texas and in good standing with the Texas Bar.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the Texas State Bar.

Skills:

  • Strong negotiation and drafting skills for complex financing transactions.
  • Excellent analytical and problem-solving abilities.
  • Ability to manage multiple complex transactions and meet tight deadlines.
  • Strong interpersonal and communication skills for client management and team collaboration.
  • Knowledge of cash flow and asset-based lending is preferred.
