Job Overview:

A law firm in Palo Alto, CA, seeks a Technology and IP Transactional Associate Attorney with 3-6 years of experience. The ideal candidate will focus on life sciences transactions and broader cross-industry technology and intellectual property transactions, including mergers and acquisitions, collaboration and license agreements, outsourcing, and joint venture agreements. The firm seeks an attorney with outstanding credentials and qualifications in the pharmaceutical and life sciences industry.

Duties:

  • Manage and execute complex life sciences transactions, including mergers and acquisitions, collaboration and license agreements, outsourcing agreements, and joint venture agreements.
  • Provide legal counsel on technology and intellectual property matters within strategic commercial agreements.
  • Draft, negotiate, and review various transactional documents related to technology and IP transactions.
  • Conduct due diligence and provide risk assessments for potential and ongoing transactions.
  • Collaborate with clients and internal teams to develop and implement legal strategies aligned with business objectives.
  • Advise clients on compliance with applicable laws and regulations related to technology and intellectual property.
  • Stay current with industry trends and legal developments in the pharmaceutical, life sciences, and technology sectors.
  • Represent the firm in client meetings, negotiations, and other professional interactions.

Requirements:

  • 3-6 years of experience in technology and intellectual property transactional law, focusing on life sciences transactions.
  • Demonstrated experience with mergers and acquisitions, collaboration and license agreements, outsourcing, and joint ventures.
  • Outstanding academic credentials and professional qualifications related to the pharmaceutical and life sciences industry.
  • Proven track record of handling complex transactions and providing strategic legal advice.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Admission to practice law in the state of California.

Skills:

  • Strong analytical and problem-solving abilities.
  • Excellent drafting and negotiation skills.
  • Ability to manage multiple transactions and prioritize effectively.
  • Exceptional communication and interpersonal skills.
  • Deep understanding of life sciences, technology, and intellectual property law.
