A law firm seeks an experienced and driven Investment Management Associate Attorney to join its team in New York City, NY. The ideal candidate will have 3-8 years of experience in investment management law, particularly with the Investment Company Act of 1940, the Investment Advisers Act of 1940, and related securities regulations. This is an exciting opportunity for an attorney with a background in investment company representation to work with a dynamic team, focusing on the preparation and review of investment management agreements and regulatory filings for registered investment companies.

Duties:

  • Advise and represent registered investment companies on compliance with the Investment Company Act of 1940, Investment Advisers Act of 1940, and other related securities regulations.
  • Prepare, review, and assist with the filing of registration statements, offering documents, and related materials.
  • Draft and review board meeting materials, investment management agreements, and client communications.
  • Collaborate with senior attorneys on complex investment management matters, providing legal counsel and strategic advice to clients.
  • Stay current with developments in securities laws and regulations, providing clients with updates and insights.
  • Communicate regularly with clients to address concerns, provide legal advice, and ensure compliance with regulatory requirements.

Requirements:

  • 3-8 years of experience in investment management law, with strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934.
  • Experience representing registered investment companies, including drafting and reviewing registration statements, offering documents, and investment management agreements.
  • Strong attention to detail with excellent writing and communication skills.
  • Problem-solving attitude with a proactive, can-do approach to legal challenges.
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
  • Strong academic credentials and intrinsic motivation for continuous professional development.
  • Admission to the bar in the jurisdiction where the attorney practices (New York preferred).

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the New York State Bar (or eligibility to practice in New York).
  • Additional bar certifications in other jurisdictions are a plus.

Skills:

  • In-depth knowledge of investment management law, particularly the Investment Company Act of 1940 and related securities regulations.
  • Expertise in preparing and reviewing regulatory filings, including registration statements and offering documents.
  • Exceptional legal research, writing, and analytical abilities.
  • Ability to work independently and collaboratively with clients and internal teams.
  • Strong organizational skills, with the ability to prioritize and manage a high volume of cases.
