Job Overview

A distinguished law firm is seeking a Corporate Reorganization Associate Attorney to join its dynamic and entrepreneurial team. This role involves representing debtors and major creditors in various restructuring scenarios, both in-court and out-of-court. The practice includes distressed lending, asset acquisitions, and bankruptcy litigation.

Duties

  • Represent corporate debtors, lenders, financial institutions, creditors, and other entities in diverse restructuring transactions, including cross-border matters.
  • Manage cases involving out-of-court restructurings, prepackaged and prearranged Chapter 11 filings, traditional Chapter 11 filings, 363 asset purchases, and distressed lending across multiple industries.
  • Draft and negotiate key restructuring documents, including forbearance agreements, restructuring/plan/transaction support agreements, Chapter 11 petitions, first-day motions, debtor-in-possession financing documents, cash collateral documents, plans of reorganization, disclosure statements, and more.
  • Prepare bankruptcy litigation documents such as complaints, answers, discovery requests, procedural motions, and other related filings.
  • Collaborate with colleagues, clients, and opposing counsel through regular communication and correspondence.
  • Conduct legal research, primarily in bankruptcy contexts, utilizing both library reference materials and electronic resources.
  • Organize and prioritize workload effectively while maintaining attention to detail and meeting deadlines.

Requirements

  • Should have 4-5 years of experience.
  • Proven full-time experience in bankruptcy and corporate reorganization, including representing major Chapter 11 debtors, significant financial creditors, and buyers in 363 asset purchases.
  • Experience drafting core restructuring documents and bankruptcy litigation documents.
  • Strong ability to communicate effectively in both written and oral English.
  • Proficiency in Microsoft Office, Outlook, Word, Excel, and Adobe Acrobat.

Education

  • Juris Doctor (JD) degree.
  • Bachelor’s degree.
  • Admission to practice law in the State of New York.

Certifications

  • Active membership with the New York State Bar.

Skills

  • Extensive knowledge of bankruptcy law and corporate reorganization procedures.
  • Excellent legal research, writing, and analytical skills.
  • Ability to establish and maintain effective working relationships with colleagues and clients.
  • Strong organizational skills with the ability to prioritize tasks efficiently.
  • Familiarity with bankruptcy-related electronic resources and library reference materials.
