Job Overview:

A leading law firm is seeking a Lateral Associate to join its Corporate M&A team in Palo Alto, California. The ideal candidate will have 3-5 years of experience in M&A transactions and a solid understanding of corporate law, particularly within the tech industry. Location:

Duties:

  • Advise corporate clients on mergers, acquisitions, dispositions, minority investments, and other corporate transactions.
  • Provide legal counsel on general corporate and emerging companies matters.
  • Draft and review corporate transaction documents, including purchase agreements and investment contracts.
  • Conduct due diligence and assist in structuring complex transactions.
  • Manage client relationships and provide proactive, strategic advice.
  • Collaborate with senior attorneys on high-level transactions while also taking ownership of key aspects of deals.
  • Contribute to business development efforts and build relationships with clients.

Requirements:

  • 1-3 years of experience in M&A transactions and corporate law.
  • Strong understanding of corporate law, with a focus on the tech industry.
  • Experience in advising clients on acquisitions, investments, and corporate governance matters.
  • Ability to manage multiple tasks and work independently while maintaining attention to detail.
  • A driven, entrepreneurial mindset with a focus on business development and client relationships.
  • Strong interpersonal and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admitted to practice in Pennsylvania (or ability to become admitted in the relevant jurisdiction).

Skills:

  • In-depth knowledge of M&A transactions and corporate governance.
  • Strong drafting and negotiation skills.
  • Excellent legal research, writing, and analytical skills.
  • Ability to manage client relationships and develop new business.
  • Organizational skills and the ability to handle complex matters independently.
