Job Overview:
A well-established law firm is seeking an experienced Finance and Restructuring Associate to join its growing practice group. The ideal candidate will have 3 to 6 years of experience in corporate finance, particularly in working with financial institutions and borrowers on commercial finance transactions, including loan originations and real estate financings. This is a hybrid position available in multiple office locations across the U.S., offering a dynamic and collaborative environment. The role will involve drafting complex legal documents, advising clients on compliance and covenant issues, and managing due diligence teams for various commercial transactions.

Location:

Duties:

  • Draft and review corporate finance documents, including loan agreements, security agreements, intercreditor agreements, and related financial documentation.
  • Provide legal counsel on covenant compliance and loan restructuring.
  • Lead and manage due diligence teams for commercial finance transactions.
  • Handle loan originations, real estate financings, and other complex financial transactions.
  • Collaborate closely with clients, financial institutions, and other stakeholders to ensure effective resolution of legal matters.
  • Manage multiple legal matters simultaneously, ensuring all deadlines are met with minimal supervision.
  • Mentor junior associates and assist in developing team strategies for handling client matters.

Requirements:

  • 3 to 6 years of experience in corporate finance, commercial finance, or restructuring law.
  • Proven ability to draft and negotiate loan, security, and intercreditor agreements.
  • Experience with covenant compliance and advising clients on financial regulations.
  • Strong management experience, particularly in leading due diligence teams.
  • Ability to work independently and manage multiple assignments under tight deadlines.
  • Experience in real estate financings preferred but not required.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Admission to the state bar (specific to the office location).

Skills:

  • Strong writing and legal drafting skills.
  • In-depth knowledge of corporate finance law and commercial transactions.
  • Ability to manage complex legal matters with a focus on client service.
