Title: Fund Formation Associate Attorney

Job Overview

A prominent law firm located in Charlotte, NC is seeking a Fund Formation Associate Attorney to join its Corporate and Private Equity Department. The successful candidate will support clients in a broad range of transactions, with a focus on private fund sponsors and institutional investors involved in the structuring, formation, and management of alternative investment funds. This role provides an opportunity to work on complex fund formation matters and collaborate with an experienced team of attorneys.

Duties

  • Assist in the formation, structuring, and capital raising for various private equity, real estate, mezzanine, hedge funds, evergreen funds, and other hybrid funds.
  • Advise clients on compliance and ongoing management of alternative investment funds across multiple strategies.
  • Collaborate on capital-raising transactions, including programmatic joint ventures.
  • Manage the equity investment process for independent sponsors, including structuring one-off investment transactions.
  • Draft and negotiate limited partnership and limited liability company agreements for private investment funds.
  • Prepare offering documents, including private placement memoranda (PPMs), and ensure compliance with relevant securities laws (e.g., Regulation D).
  • Review fund documents on behalf of institutional investors, identifying key issues and providing legal counsel.
  • Advise clients on compliance with the Advisers’ Act and related regulatory issues for fund managers.

Requirements

  • 3-4 years of experience at a large law firm, with a focus on representing private fund sponsors and institutional investors.
  • Experience with drafting and negotiating fund formation documents, including limited partnership and LLC agreements.
  • Strong understanding of market fund terms, securities laws governing private placements, and compliance issues.
  • Experience advising clients on private investment fund formation, structuring, and capital raising.

Education

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic background required.

Certifications

  • Admission to NC Bar.

Skills

  • Primary drafting experience in private investment fund agreements.
  • Knowledge of securities laws and regulatory issues related to fund formation and capital raising.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication abilities.
  • Ability to work independently and collaboratively with clients and colleagues.
  • Strong interpersonal skills for client interaction and negotiation.
